March 31, 2006

Dear Friend and Customer:

After careful consideration of present and future issues facing the security and fire alarm industry and with an ever increasing demand for state-of-the-art technology, we have decided to take Franklin Security to the next level of professional services.

We are pleased to announce that effective March 31, 2006, Franklin Security has sold all of its alarm service accounts to Vector Security, Inc. Vector is a full service company and a recognized leader in the security industry. In my 35 years in the industry, I have always found Vector to be among the most responsive and professional companies in the market. Vector is one of the largest security providers in the United States with a significant local presence and an office in Plymouth Meeting, PA. I firmly believe that Vector can provide you the level of personal services to which you have become accustomed while having the resources of a large regional organization. You will be in good hands.

While I eventually intend to retire, I will be working closely with Vector during this transition period to make the transition as seamless as possible. I also currently anticipate that all of Franklin’s key employees will continue to service your account after March 31 as employees of Vector. Our phone numbers will remain the same so if you have any questions please feel free to contact me or any former Franklin employee.

For the next several months, your system will continue to be monitored in the same manner as it was prior to March 31. Eventually, Vector will transfer the monitoring service to Vector’s state-of-the-art monitoring facility in Plymouth Meeting. Service for your system will be coordinated out of the local Plymouth Meeting office effective April 1.

We have made every effort to make the changeover as seamless as possible for you. Your pass codes and emergency notification list will not change at this time! As in the past, the monitoring facility will verify burglar alarm signals from your premises and you will be asked for your passcode when the monitoring facility calls. Enclosed you will find 4 window decals and Vector’s fire newsletter which contains important information regarding fire alarm systems.

One change you will see is that all recurring billing will be generated on the 21st of each month for services starting the 1st of the following month. If you are currently paying your invoice electronically (ACH or Credit Card) your payments will now be taken on the 23rd of the month.

Vector will honor all contractual obligations for those customers who have work/jobs pending or in progress.

Again, all of us at Franklin Security join with Vector Security to express our appreciation for the opportunity to serve you, and we pledge to earn your continued confidence in meeting your security needs.

Sincerely,

Don Heebner, President

Franklin Security Corporation
